1. Agreement & Acceptance of Terms

By accessing, browsing, or utilizing https://pratikkhambekar.com (the "Website"), or by engaging Pratik Khambekar ("Consultant", "I", "me") for consulting, brand strategy, design, or marketing execution, you acknowledge that you have read, understood, and agree to be legally bound by these Terms & Conditions.

If you represent a business entity, company, or brand, you confirm that you have the requisite corporate authority to bind that entity to these terms.

2. Consulting Services Scope

I provide bespoke digital marketing, brand management, web engineering, and creative consulting services, including but not limited to:

• Brand Strategy & Visual Systems: Brand positioning, narrative architecture, visual identity, and brand guidelines.
• Digital Marketing & Performance Media: Paid media strategy (Meta, Google, LinkedIn), search engine optimization (SEO), and conversion rate optimization (CRO).
• Content Production & Creative Direction: Video scripting, social content systems, AI-accelerated creative workflows, and digital storytelling.
• Web Development & Interactive Experiences: Modern web engineering, digital menus, landing pages, and responsive brand portfolios.
• Marketing Analytics & Technology: Custom analytics dashboards, predictive marketing models, and CRM / marketing automation systems.

Specific deliverables, timelines, milestone schedules, and payment terms for client projects are formalized through written Statements of Work (SOW), formal proposals, or service agreements executed between the client and Pratik Khambekar.

3. Intellectual Property Rights

The allocation of intellectual property rights is governed as follows:

• Client Final Deliverables: Upon receipt of 100% of all agreed project fees and cleared payments, full ownership of bespoke client final deliverables (e.g., custom logos, final ad creatives, finalized copy, client website codebases) transfers to the client.
• Consultant Background Know-How & Tools: Pre-existing frameworks, proprietary marketing methodologies, code libraries, script templates, automation workflows, and generic background know-how developed by Pratik Khambekar remain my exclusive intellectual property.
• Portfolio Showcase Right: Unless explicitly restricted by an active Non-Disclosure Agreement (NDA) executed prior to project kickoff, Pratik Khambekar retains the irrevocable right to showcase non-confidential project deliverables, creative artifacts, visual designs, and verified performance metrics as case studies in this online portfolio, pitch decks, and professional awards submissions.
• Website Content: All texts, custom graphics, typography treatments, CSS animations, and source code of this portfolio website are protected under copyright and intellectual property laws of India and international treaties. Unauthorized duplication is strictly prohibited.

4. Case Studies & Performance Disclaimers

All case studies, client testimonials, and performance metrics presented across this website (including milestones such as 6M+ organic video views, revenue growth figures, and client ROAS metrics) represent historical achievements from specific engagements.

Important Marketing Disclaimer: While all strategies are formulated with institutional rigor and 7+ years of hands-on expertise, past performance does not guarantee future results. Digital marketing outcomes are intrinsically dependent on external market factors, client operational execution, sales team follow-up, product-market fit, ad budget size, and algorithmic volatility on third-party platforms (Google, Meta, Instagram, LinkedIn, TikTok, YouTube).

5. Client Responsibilities & Cooperation

Successful consulting engagements require collaborative execution. Clients agree to:

• Provide timely approvals, feedback, and project assets (logos, images, brand guidelines, product details) within agreed milestone schedules.
• Ensure that all materials, trademarks, and content provided to Pratik Khambekar for incorporation into marketing assets are owned by the client or legally licensed.
• Maintain active payment schedules as outlined in the applicable invoice or Statement of Work.

6. Limitation of Liability

To the maximum extent permitted by applicable law:

• Pratik Khambekar shall not be liable for any indirect, incidental, punitive, special, or consequential damages, including loss of profits, data loss, business interruption, or reputation damage arising out of website usage or consulting advisory.
• Consultant is not liable for service disruptions caused by third-party hosting outages, social media API changes, platform account suspensions, or forced algorithmic shifts beyond human control.
• In all cases, total aggregate liability arising out of any specific consulting engagement shall be strictly capped at the total professional fees actually paid by the client to Pratik Khambekar for the specific deliverable giving rise to the claim.

7. Termination of Engagements

Either party may terminate an ongoing consulting contract in accordance with the termination clauses specified in the governing Statement of Work (typically upon 14–30 days written notice). Upon termination, the client shall pay for all hours logged and milestones completed up to the effective termination date.
